1. All work carried out for clients by or at the responsibility of Hi-Search Technology (HIST) Limited is subject to these terms of business unless varied in writing by any subsequent agreement signed by Hi -Search Technology (HIST) Limited.
2. These terms relate to services in respect of tests, examinations, analyses, reports and advisory work, investigations, inspections, research and development, lecture, instructor, site visits and the written of reports and other documentation.
3. Hi-Search Technology agrees to carry out the allotted tasks with all reasonable care, skill and diligence unless prevented from so doing by circumstances outwit its control.
4. Tests, analysis and any other services or assignments will only be carried out on receipt of a written request ideally in the form of an official purchase order. In the event of cancellation of work for any reason, the client (s) will pay the fees and expenses to the date of cancellation.
5. Invoices will normally be submitted at the end of the services or assignment but Hi-Search Technology reserves the right to submit interim invoices at any point while the work is in progress or monthly intervals where appropriate.
6. Terms of payment are strictly 15 days net; unless varied in agreement between Hi -Search Technology (HIST) Limited and the customer before services are rendered. Hi-Search Technology reserves the right to charge interest on overdue accounts.
7. All quotations, fee scales and prices are quoted exclusive of VAT and reasonable expenses (see 8 below), which will be charged additionally as appropriate.
8. Expenses are recharged to the client at cost plus 10 % (company's overhead). Except where otherwise agreed with the client rail travel will be first class and air Travel business class or equivalent.
Overnight accommodation will be selected from good quality hotels offering rooms with suite facilities. Mileage in Hi- Search Technology's own vehicle will be recharged at £0.40 per mile.
Quoted prices include normal administrative costs such as reasonable UK telephone, facsimile costs, postage and up to two copies of any report.
Abnormally high photocopying, typesetting, postage, telephone, or other communication costs will be charged additionally, as will provision of any other specific services authorised by the client.
9. Hi-Search Technology Ltd will not be held responsible for any loss or damage to samples, equipment and injury arising from actions or omissions of the client or client's agents or contractors and the client shall indemnify Hi-Search Technology Ltd against all claims, costs and expenses arising from such acts or omissions.
10. Hi-Search Technology Ltd shall not be held responsible for any loss, damage or injury arising as a consequence of carrying out the work requested by the client or the client's agents. The client shall indemnify Hi-Search Technology and keep it indemnified from all claims in this respect
11. Hi-Search Technology reserve the right to amend, change and/or update these Terms of Business at any time without notice.
12. Any Dispute or difference arising out of this agreement shall be referred for arbitration by an arbitrator nominated by the President of the Chartered Institute of Arbitrators.
13. These terms of business and all related documents that may vary them shall be constructed and have effect in accordance with the laws of England .
